These Terms of Service (“Terms”) govern your access to and use of the website operated by K2 (“we”, “us”, or “our”) and any related informational materials or enquiry channels made available through the site (collectively, the “Site”).
K2 provides professional software development, consulting, and related technology services (“Services”). These Terms apply to your use of the Site. A separate written agreement (such as a statement of work or master services agreement) will apply to paid Services we deliver to clients where executed.
By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.
1. Eligibility

6. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL K2, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SITE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED DOLLARS (USD $100) OR (B) THE AMOUNTS YOU PAID US (IF ANY) FOR ACCESS TO THE SITE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, EXCEPT WHERE LIABILITY CANNOT BE LIMITED UNDER MANDATORY LAW (FOR EXAMPLE, DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, OR FRAUD).
7. Indemnity
To the extent permitted by law, you agree to indemnify and hold harmless K2 and its affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your misuse of the Site, violation of these Terms, or violation of third-party rights, except to the extent caused by our wilful misconduct or gross negligence.
8. Suspension and termination
We may suspend or terminate access to the Site, with or without notice, if we reasonably believe you have breached these Terms or pose a security or legal risk. Provisions that by their nature should survive (including intellectual property, disclaimers, limitation of liability, and governing law) will survive termination.
9. Governing law and disputes
These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict-of-law principles, except that mandatory consumer protection laws in your country of residence may apply to you where they cannot be waived.
Subject to mandatory provisions of law, you agree that the courts of England and Wales shall have non-exclusive jurisdiction over disputes arising from these Terms or the Site. Nothing in these Terms limits any right you may have to bring proceedings in your local courts where required by law.
10. Changes
We may modify these Terms from time to time. We will update the “Last updated” date above and, where changes are material, may provide additional notice (for example, by posting a notice on the Site). Your continued use of the Site after changes take effect constitutes acceptance of the revised Terms, to the extent permitted by law.
11. General
If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect. Failure to enforce any provision is not a waiver. These Terms constitute the entire agreement between you and K2 regarding the Site to the extent described herein.
You may not assign these Terms without our consent. We may assign our rights and obligations in connection with a merger, acquisition, or sale of assets.
